148th ANNUAL GENERAL MEETING
Germania Mutual Insurance Company

TAKE NOTICE that the 148th Annual General Meeting of the Members of the Germania Mutual Insurance Company will be held at the Ayton Centennial Hall located at 818 Albert St., Ayton, on March 18, 2026 at 2:00pm for the following purposes:

  1. To receive and approve the Minutes of the 2024 Annual Meeting.

  2. To receive the 2025 Annual Statement and Auditors’ Report.

  3. To appoint auditors for the year 2026, and authorize the Board to set their remuneration.

  4. To elect three (3) directors for a three-year term. Directors whose terms expire are Doug Townsend and Gary Ross, each of whom are eligible for re-election and have filed notice of their intention to seek re-election to the Board. Steve Smith will be retiring from Board of Directors.

In compliance with the Germania Mutual Nomination Policy, the Board Nomination Committee; reviewed resumes, interviewed candidates and then recommended to the Board of Directors that the candidates listed below be shown as preferred candidates for election to the Board, for a three (3) year term. The Germania Mutual Board accepted the recommendation of the Board Nomination Committee and now list the following candidates as preferred candidates to be elected as Board Directors at the March 18th 2026, Annual General Meeting:

  • Doug Townsend
  • Gary Ross
  • Susan Weigel

Written notice of the intention to be considered as a Director, must have been filed with the Secretary of the Corporation, no later than ninety (90) days prior to the election.

Pursuant with our corporate by-laws our 2025 Annual Financial Statement (Audited) will be posted on our website twenty-one (21) days prior to our annual meeting and a copy may be obtained fourteen (14) days prior by sending a written request to the Company’s main office located at 403 Mary Street, Ayton, Ontario.
