147^th ANNUAL and SPECIAL GENERAL MEETING

TAKE NOTICE that the 147th Annual General and Special Meeting of the Members of the Germania Mutual Insurance Company will be held at the Germania Mutual Insurance office, located at 403 Mary Street, Ayton, on March 19, 2025 at 2:00pm for the following purposes:

1. To receive and approve the Minutes of the 2023 Annual Meeting.


2. To receive the 2024 Annual Statement and Auditors’ Report.


3. To appoint auditors for the year 2025, and authorize the Board to set their remuneration.


4. To approve proposed By-Law 2025-1 which By-law will replace By-law 2022-1 of the Corporation, being the Corporation’s General By-law:

5. To elect three (3) directors for a three-year term. Directors whose terms expire are Donna Bridge, Kevin Eccles and Brian Milne, each of whom are eligible for re-election and have filed notice of their intention to seek re-election to the Board.

Written notice of the intention to stand for election as a Director must have been filed with the Secretary of the Corporation, at minimum 90 days prior to the Annual General Meeting, in accordance with our Nomination procedure.

Pursuant with our corporate by-laws our 2024 Annual Financial Statement (Audited) will be posted on our website twenty-one (21) days prior to our annual meeting and a copy may be obtained fourteen (14) days prior by sending a written request to the Company’s main office located at 403 Mary Street, Ayton, Ontario.
