146th ANNUAL GENERAL MEETING
Germania Mutual Insurance Company
TAKE NOTICE that the 146th Annual General Meeting of the Members of the Germania Mutual Insurance Company will be held at the Ayton Centennial Hall located at 818 Albert St., Ayton, on March 27, 2024 at 2:00pm for the following purposes:
- To receive and approve the Minutes of the 2022 Annual Meeting.
- To receive the 2023 Annual Statement and Auditors’ Report.
- To appoint auditors for the year 2024, and authorize the Board to set their remuneration.
- To elect three (3) directors to the Germania Board of Directors for a three-year term.
Director Gary Becker, whose term expires is eligible for re-election and has filed notice of his intention to seek re-election to the Board.
Director Roger Smith resigned as a director on December 21st 2023 and Kevin Weppler was appointed to the Board on December 21st 2023 to fill the vacancy.
Beverly Schenk, is retiring from the Board.
The Germania Mutual Board Nomination Committee interviewed eligible candidates and recommended to the Board of Directors that three candidates be listed as preferred candidates for election for a three (3) year term, to the Board of Directors at the Annual General meeting. The Germania Mutual Board accepted the recommendation of the Board Nomination Committee and now recommend the following candidates be elected as directors:
Bruce Aitken
Gary Becker
Kevin Weppler
Pursuant with our corporate by-laws our 2023 Annual Financial Statement (Audited) will be posted on our website twenty-one (21) days prior to our annual meeting and a copy may be obtained fourteen (14) days prior by sending a written request to the Company’s main office located at 403 Mary Street, Ayton, Ontario.
